NDA

A confidentiality agreement — both sides promise not to share the private details they learn about the business.

LOI (Letter of Intent)

A written "here is the deal I want to do" — it sets out the price and terms before the final contract.

Due diligence

The homework stage — the buyer digs into the real numbers and records to confirm everything checks out.

Escrow

A neutral, licensed third party that holds the money safely and only releases it when the deal actually closes.

Proof of funds

Showing you genuinely have the money to buy — so sellers know an offer is real.

SDE / cash flow

How much money the business actually puts in the owner's pocket each year, after expenses.

Asset sale

Buying the things the business owns (equipment, customers, name) rather than the legal company itself.

Platform fee

If a fee ever applies to your deal, we spell it out clearly up front — no surprises.
